Terms of service

These terms govern access to and use of HiON OS, the operations platform provided by HFG Holdings LLC, doing business as HiON Franchise Group (“HiON”, “we”, “us”), at app.hionev.com. By signing in, you agree to them on behalf of yourself and the organization you represent.

Precedence

These terms cover the software only. They do not create, modify, or interpret any franchise relationship. If anything here conflicts with a Franchise Disclosure Document, a signed franchise agreement, or another executed contract between you and HiON, that document controls.

Who may use HiON OS

Access is by invitation. Accounts are provisioned for franchisees, host partners, HiON staff, and their authorized personnel. Signing in does not by itself grant access to any data — an administrator must grant your account membership in an organization. You must be at least 18 and authorized to act for the organization you join.

Your account

• Keep your sign-in credentials confidential and do not share your account.
• You are responsible for activity that happens under your account.
• Tell us promptly at security@hionev.com if you believe your account has been compromised.
• We may suspend an account that appears compromised, or whose access is no longer authorized.

Acceptable use

You agree not to:

• Access data belonging to another organization, or attempt to circumvent access controls.
• Probe, scan, or test the security of the platform without our prior written permission.
• Scrape, bulk-export, or resell platform data except as your agreement with HiON permits.
• Upload malicious code, or interfere with the platform’s operation or availability.
• Use the platform to violate law, or to infringe someone else’s rights.
• Misrepresent your identity or your authority to act for an organization.

Your data

Business records your organization enters remain your organization’s. You grant us the rights needed to host, process, back up, and display that data in order to operate the platform and support you. We handle personal information as described in our privacy policy. We may use aggregated, de-identified information — which cannot reasonably identify you or your organization — to operate and improve the platform and to report on network-level performance.

Confidential material

Parts of HiON OS expose material that is confidential or restricted, including financial performance representations governed by the Franchise Disclosure Document and any non-disclosure agreement you have signed. You may use that material only for its intended purpose and may not redistribute it. Restrictions in an executed non-disclosure or franchise agreement continue to apply in full.

Our intellectual property

The platform, its software, design, and the HiON name and marks are owned by HiON or its licensors. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use HiON OS for your organization’s business with HiON, and nothing more. Feedback you send us may be used without obligation to you.

Availability and changes

We work to keep HiON OS available, but we do not promise uninterrupted service. We may modify, add, or remove features, and we may perform maintenance that makes the platform temporarily unavailable. We will give reasonable notice of changes that materially reduce functionality you rely on, when we can.

Third-party services

HiON OS relies on third-party providers for hosting, data storage, authentication, and email delivery, and may link to third-party sites. We are not responsible for third-party services or their content, and your use of them is governed by their own terms.

Disclaimers

Except where the law does not allow it, HiON OS is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Figures, projections, and analytics in the platform are operational tools, not guarantees of results, and are not a substitute for the disclosures in the Franchise Disclosure Document.

Limitation of liability

To the fullest extent permitted by law, HiON is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of your use of the platform. Nothing in this section limits liability that cannot be limited by law, and nothing here limits or disclaims any obligation HiON owes you under a franchise agreement or under franchise law.

Suspension and termination

We may suspend or end access for a serious or repeated breach of these terms, for a security risk, or when the underlying business relationship ends. Your organization may request that we deactivate accounts at any time. On termination your right to use the platform stops, and we handle any remaining data as described in the privacy policy and in your agreement with HiON.

Changes to these terms

We may update these terms. We will change the date at the top of this page, and for material changes we will notify account holders. Continuing to use HiON OS after a change takes effect means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Kansas, without regard to conflict-of-laws rules, and the state and federal courts located in Johnson County, Kansas are the exclusive venue for any dispute arising out of them. Where applicable state franchise law grants you rights, remedies, or a forum that this section would otherwise limit, that law controls.
